These terms explain the rules for using the Flow Verify website and software — what you can expect from us, what we ask of you, and the limits of our responsibility. Please read them carefully. By using the Services, you agree to these terms.

Acceptance of These Terms

These Terms of Service ("Terms") are a binding agreement between you (and the company or organization you represent) and Flow Verify ("Flow Verify," "we," "us," or "our"). They govern your access to and use of the Flow Verify website at flow-verify.com, our compliance software platform, and any related services (together, the "Services"). By accessing the website, requesting a demo, creating an account, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. If you are accepting these Terms on behalf of a company, you represent that you have authority to bind that company.

What Flow Verify Provides

Flow Verify is a compliance technology platform that helps private security companies and related businesses track and verify professional licenses, guard cards, certifications, and vendor compliance documents. Features may include automated license monitoring, document (OCR) processing, expiration alerts, roster management, vendor compliance tracking, and audit-trail reporting. We may add, change, or remove features over time. We will use reasonable efforts to notify customers of material changes to the Services.

Compliance Disclaimer — Please Read

Flow Verify is a tool that assists you in managing compliance. It is not a substitute for your own legal, regulatory, or operational judgment, and it does not constitute legal advice. • You remain solely responsible for your hiring, scheduling, and staffing decisions, and for your own compliance with all applicable laws and regulations, including California Bureau of Security and Investigative Services (BSIS) requirements. • License and certification data is obtained from third-party and government sources (such as the BSIS BreEZe system). We do not control those sources and cannot guarantee that their data is complete, accurate, or current. There may be delays between a change in a person's actual status and when it is reflected in those systems or in the Services. • Alerts and verification results are provided for informational purposes. You should independently confirm any status before relying on it for a compliance-critical decision.

Accounts and Eligibility

To use the software platform you may need to create an account. You agree to provide accurate information, to keep your login credentials confidential, and to be responsible for all activity that occurs under your account. You must be at least 18 years old and authorized to act on behalf of your organization. Notify us immediately at info@flow-verify.com if you believe your account has been compromised.

Acceptable Use

You agree not to: • Use the Services for any unlawful purpose or in violation of these Terms • Upload data you do not have the right to share, or that infringes the rights of others • Attempt to gain unauthorized access to the Services, other accounts, or our systems • Reverse engineer, copy, resell, or create derivative works from the Services except as permitted by law • Interfere with or disrupt the integrity or performance of the Services • Use the Services to store or transmit malicious code or to harass any person

Subscriptions, Fees, and Payment

Access to the software platform is provided on a subscription basis. Applicable fees, billing frequency, and any usage-based charges (such as per-search or overage rates) are set out in your order, plan selection, or a separate written agreement with us. Unless otherwise stated: fees are billed in advance, are non-refundable except where required by law, and are exclusive of taxes. We may change our pricing on a prospective basis with reasonable advance notice. Failure to pay may result in suspension or termination of access.

Your Data

As between you and Flow Verify, you own the data you submit to the Services (such as employee rosters, license numbers, and vendor documents). You grant us a limited license to process that data solely to provide and improve the Services. You are responsible for ensuring you have the necessary rights and consents to provide personal data of your employees and vendors to us. Our handling of personal data is described in our Privacy Policy.

Intellectual Property

The Services, including all software, design, text, graphics, and the Flow Verify name and logo, are owned by Flow Verify or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you. You may not use our trademarks without our prior written permission.

Third-Party Services

The Services rely on or integrate with third-party providers (for example, government licensing databases, analytics tools, automation platforms, and email providers). We are not responsible for the availability, accuracy, or practices of those third parties. Your use of a third-party service may be subject to that provider's own terms.

Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any data provided through them will be accurate or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, Flow Verify and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to the Services will not exceed the amount you paid us for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Flow Verify from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your data, or your violation of these Terms or of any law or the rights of a third party.

Term and Termination

These Terms apply for as long as you use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or if we are required to do so by law. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated through the website or by email where appropriate. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in California.
